The team at Pariveda was recently asked to complete a technology assessment to validate a client's investment thesis during the due diligence process regarding a company they were about to acquire. Pariveda would need to act as a technical assessment leader across three phases of the project, which included on-site visits, phone interviews, and an extensive analysis of all documentation provided by the target firm.
Anticipate factors for future growth
Our team used a slight variation of our Pariveda “-ilities" architecture framework to structure a comprehensive, diagnostic process for evaluating the client's company. The framework allowed us to accelerate evaluation by focusing on critical aspects of their technology along with the ways those aspects impacted the investment thesis.
Using this framework, the team at Pariveda was able to review automated and manual processes to evaluate their ability to scale and meet growth goals. We were able to evaluate current staffing and IT organizational structure to better support existing systems and anticipated growth. We performed a comprehensive review of the client's technology architecture to identify gaps and opportunities for improvement. We assessed the software development lifecycle and its general ability to manage the growth of the platform. After identifying any barriers to growth associated with the client's core product lines, we were able to review the degree of customer versus off-the-shelf components to the overall solution set.
Validation impacts the price offered
Thanks largely to Pariveda's involvement, the client was able to appropriately understand the impact of future changes to their business case in a more organic way. They were also able to validate all investments included in the target company's projections, which resulted in a much more accurate bid price for the acquisition.
